End User License Agreement (EULA)

Last updated: September 5, 2026

1. Scope of This EULA

This End User License Agreement ("EULA") governs Customer's use of the artificial intelligence models made available through the Timbermap platform (the "Models"), including without limitation tree crown detection, tillage line detection, plantation fault detection, automatic stand delineation, and land cover segmentation, and any other model Timbermap may add from time to time (each, a "Model", and their outputs, "Model Outputs"). This EULA supplements, and is incorporated by reference into, the Timbermap License Terms. Capitalized terms not defined here have the meaning given in the License Terms. In the event of a conflict between this EULA and the License Terms specifically with respect to the Models, this EULA controls.

2. License Grant

Subject to Customer's compliance with this EULA and the License Terms, and for as long as Customer maintains an active subscription granting access to the relevant Model, Forestech Uruguay SRL grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to: (a) submit Customer Content to the Models through the Service; (b) receive, view, and export the resulting Model Outputs; and (c) use those Model Outputs internally for Customer's own forestry, agricultural, or land-management operations. No right is granted to access the Models' weights, parameters, training data, or underlying source code, whether directly or by inference.

3. Restrictions Specific to the Models

Customer will not, and will not permit any third party to: (a) copy, extract, reverse-engineer, decompile, or attempt to derive the weights, architecture, or training methodology of any Model; (b) use the Service, in whole or systematically in part, to generate a dataset for the purpose of training, fine-tuning, or benchmarking a competing computer-vision or geospatial-AI model; (c) misrepresent Model Outputs as being generated by a person or by a different system; (d) remove or obscure any attribution or watermark Timbermap includes in exported outputs, where present; or (e) provide bulk or automated access to the Models outside the Service's documented interfaces without Timbermap's prior written consent.

4. Nature of Model Outputs — No Professional Advice

The Models produce statistical estimates — detections, counts, boundaries, classifications, and derived area or density figures — based on the imagery and parameters Customer supplies. Model Outputs are estimates, not measurements, and are not equivalent to a licensed land survey, engineering study, or forestry inventory certified by a qualified professional. Accuracy depends on factors outside Timbermap's control, including image resolution, band configuration, atmospheric conditions, vegetation state, and the appropriateness of the Model chosen for the imagery submitted. Customer is solely responsible for independently verifying Model Outputs before relying on them for any operational, financial, regulatory, safety, or legal decision, and for engaging a qualified professional where the applicable decision warrants it.

5. No Warranty of Accuracy

To the maximum extent permitted under Uruguayan law, Timbermap makes no representation or warranty, express or implied, regarding the accuracy, completeness, reliability, or fitness for a particular purpose of any Model or Model Output. Timbermap does not warrant that any Model will detect every feature present in submitted imagery, that it will produce zero false positives or false negatives, or that results will be reproducible across different imagery of the same site.

6. Limitation of Liability for Model Outputs

Without limiting the general limitation of liability in the License Terms, Timbermap will not be liable for any loss, damage, cost, or expense arising from decisions made in reliance on Model Outputs, including without limitation losses relating to plantation management, harvest planning, land valuation, insurance, or regulatory reporting. This allocation of risk is a material basis of the fees charged for access to the Models.

7. Ownership of Model Outputs

As between the parties, Customer owns the Model Outputs generated from its own Customer Content, subject to Timbermap's underlying intellectual property in the Models themselves as described in Section 7 of the License Terms. Timbermap claims no ownership interest in Customer's Model Outputs and will not use them to train or improve Models made available to other customers without Customer's prior written consent, except in de-identified, aggregated form for internal quality and performance monitoring.

8. Model Changes & Availability

Timbermap may update, retrain, deprecate, or replace any Model at its discretion to improve accuracy, performance, or coverage. Where a change is expected to materially affect the outputs Customer relies on, Timbermap will use commercially reasonable efforts to provide advance notice. Availability of specific Models depends on Customer's subscription tier and may change with the notice described in the License Terms.

9. Term & Survival

This EULA remains in effect for as long as Customer has access to any Model, and terminates automatically upon termination of the License Terms. Sections 3 through 7 survive termination.

10. Governing Law

This EULA is governed by the laws of the Oriental Republic of Uruguay and is subject to the jurisdiction and venue provisions of Section 13 of the License Terms.
