License Terms

Last updated: September 5, 2026

1. Parties & Acceptance

These License Terms ("Terms") are entered into between Forestech Uruguay SRL, a limited liability company (sociedad de responsabilidad limitada) organized under the laws of the Oriental Republic of Uruguay ("Timbermap", "we", "us"), and the individual or entity registering for or using the Service ("Customer", "you"). By creating an account, checking the acceptance box at signup, or otherwise accessing the Service, you agree to be bound by these Terms and by the End User License Agreement ("EULA") and Privacy Policy incorporated herein by reference. If you accept on behalf of an organization, you represent that you are authorized to bind that organization, in which case "Customer" refers to that organization.

2. The Service

Timbermap operates a software-as-a-service platform (the "Service") that allows Customers to upload geospatial raster and vector data, run artificial intelligence models against that data, and view, download, and manage the resulting outputs. The scope of the Service — available models, storage allowance, and weekly processing quota — depends on the Customer's subscription tier (Basic, Pro, or Custom), as described at timbermap.com/pricing. Use of the AI models themselves is additionally governed by the EULA.

3. Eligibility & Registration

You must provide accurate registration information and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, including activity by teammates you invite under a Pro or Custom plan or by any party you provide shared login credentials to under the Service's account-sharing feature. You must notify us promptly at contacto@timbermap.com of any suspected unauthorized use.

4. Fees, Plans & Payment

The Basic plan is provided free of charge, subject to the storage and processing limits in effect from time to time. Pro and Custom plan fees, billing frequency, and payment terms are as communicated to Customer by Timbermap (including via invoice, order confirmation, or the Service itself) and form part of these Terms once accepted. Fees are stated and payable in the currency indicated at the time of contracting and are non-refundable except where required by applicable Uruguayan consumer-protection law (Ley N.º 17.250) or expressly agreed in writing. Timbermap may suspend access for accounts with fees more than fifteen (15) days past due, following written notice.

5. Customer Content

Customer retains all right, title, and interest in the imagery, vector files, and other data it uploads to the Service ("Customer Content"), and in the model outputs generated from it. Customer grants Timbermap a limited, non-exclusive license to host, store, reproduce, and process Customer Content solely as necessary to provide the Service. Customer represents and warrants that it holds all rights necessary to upload Customer Content and that doing so does not infringe or misappropriate any third party's intellectual property, privacy, or other rights, and does not violate export-control or aviation/drone-operation law applicable to the imagery's capture.

6. Acceptable Use

Customer will not, and will not permit any third party to: (a) upload content it lacks rights to, or content that is unlawful, infringing, or violates the privacy of any person; (b) probe, scan, or attempt to compromise the security or integrity of the Service; (c) use the Service to conduct unlawful surveillance of any individual or property; (d) circumvent storage or processing quotas through automated or abusive means; (e) resell, sublicense, or provide the Service to third parties on a service-bureau basis without Timbermap's prior written consent; or (f) use the Service in any manner that violates applicable Uruguayan or foreign law. Breach of this Section is grounds for immediate suspension pending investigation.

7. Intellectual Property

Timbermap and its licensors retain all right, title, and interest in and to the Service, including its software, user interface, documentation, and the AI models made available through it, together with all associated intellectual property rights. Except for the limited rights expressly granted under the EULA, no rights are granted to Customer by implication, estoppel, or otherwise.

8. Confidentiality

Each party may disclose non-public information to the other in connection with these Terms ("Confidential Information"). The receiving party will use Confidential Information only to perform its obligations under these Terms, will protect it using at least the same degree of care it uses for its own confidential information (and no less than reasonable care), and will not disclose it to third parties except to personnel and subcontractors bound by confidentiality obligations at least as protective as those in this Section. This Section does not apply to information that is or becomes public through no fault of the receiving party, was already known to it, or must be disclosed by law (in which case the receiving party will give prompt notice where legally permitted).

9. Disclaimers

Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted under Uruguayan law. Timbermap does not warrant that the Service will be uninterrupted or error-free. AI model outputs are estimates and are subject to the accuracy limitations described in the EULA.

10. Limitation of Liability

To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data, arising out of or relating to these Terms, whether in contract, tort, or otherwise, even if advised of the possibility of such damages. Each party's aggregate liability arising out of or relating to these Terms will not exceed the fees paid or payable by Customer to Timbermap in the twelve (12) months preceding the event giving rise to the claim. This Section does not limit liability that cannot be limited under mandatory Uruguayan law, including liability for willful misconduct (dolo) or gross negligence (culpa grave).

11. Indemnification

Customer will indemnify and hold Timbermap harmless from third-party claims arising from Customer Content or Customer's breach of Section 5 or 6 of these Terms, including reasonable attorneys' fees, provided Timbermap gives Customer prompt written notice of the claim and reasonable cooperation in its defense.

12. Term & Termination

These Terms remain in effect for as long as Customer maintains an account or active subscription. Customer may terminate at any time by deleting its account or, for Pro/Custom plans, by written notice per the applicable order. Timbermap may suspend or terminate Customer's access for material breach not cured within fifteen (15) days of written notice, or immediately for breaches of Section 6. Upon termination, Customer's right to access the Service ends; Timbermap may delete Customer Content after a commercially reasonable grace period, except where retention is required by law.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of the Oriental Republic of Uruguay, without regard to its conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the ordinary courts of the city of Montevideo, Uruguay, for any dispute arising out of or relating to these Terms, waiving any other venue to which either party might be entitled.

14. General Provisions

These Terms, together with the EULA and Privacy Policy, constitute the entire agreement between the parties regarding the Service and supersede prior agreements on the subject. If any provision is held unenforceable, the remaining provisions continue in full force. Neither party may assign these Terms without the other's consent, except that Timbermap may assign them in connection with a merger, acquisition, or sale of substantially all its assets. Timbermap may update these Terms from time to time; material changes will be notified through the Service or by email to Customer's registered address, and continued use after the effective date constitutes acceptance.

15. Notices

Notices under these Terms should be sent to contacto@timbermap.com. Timbermap will send notices to the email address associated with Customer's account.
